Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dietzeo, a software platform operated by Uma Mahesh (Sole Proprietor), based in Machilipatnam, India. By creating an account or using the Service, you agree to these Terms.

2. The platform-only nature of our Service

This is the most important clause in these Terms. Please read carefully.

Dietzeo is purely a software-as-a-service tool. Our role is limited to:

• Hosting the application and the data you submit to it.
• Providing features such as client management, intake forms, diet-plan templates, and payment-link generation.
• Ensuring reasonable security and uptime of the platform.

We do not:

• Provide diet plans, meal recommendations, nutrition advice, or medical guidance to anyone.
• Verify, approve, endorse, or check the accuracy of any diet plan a Nutritionist creates.
• Have a doctor-patient or nutritionist-client relationship with any End Client.
• Take responsibility for the medical, nutritional, or health outcomes of any plan delivered through the platform.

Every diet plan, recommendation, and piece of guidance available through Dietzeo is the sole work and sole responsibility of the Nutritionist who created it. End Clients should rely on the credentials and competence of their Nutritionist, not on Dietzeo.

3. Eligibility and account registration

To use Dietzeo as a Nutritionist:

• You must be at least 18 years old.
• You must hold the qualifications, registrations, or certifications legally required to practise nutrition counselling in your jurisdiction. We do not verify these credentials - that responsibility is yours.
• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.

You may have End Clients who are minors. In that case, you are solely responsible for obtaining valid guardian consent before collecting their information or providing them with diet plans. Dietzeo does not collect or process minors' data directly - minors only appear in the system as records you yourself enter.

4. Free trial and paid subscriptions

Dietzeo offers a 14-day free trial with no credit card required. You may use the full Service during this period.

After the trial ends, you must subscribe to a paid plan to continue using the Service in full. If you do not subscribe, your account will enter a read-only mode: you can still view your existing data but cannot add new clients, plans, or send new communications. Your data is preserved during this period.

Subscription fees, billing periods, and renewal terms are shown on the Subscription page inside the app. Payment is processed through Razorpay or our other approved payment partners. We currently use manual renewal - your subscription does not auto-bill; we will send a reminder before it ends.

All fees are quoted in Indian Rupees (INR). We are not currently registered for GST. If our GST status changes in future, we will update pricing and notify customers.

5. Your content and data

You retain ownership of all Content you submit to Dietzeo. By uploading Content, you grant us a limited, non-exclusive, royalty-free licence to host, store, process, back up, and display that Content for the sole purpose of operating the Service for you. This licence ends when you cancel your account, except where retention is required by law (see our Privacy Policy).

You are responsible for:

• Ensuring that you have the legal right to upload any Content (including End Client information).
• Obtaining valid consent from End Clients before adding their personal data to the Service.
• The medical accuracy and suitability of every diet plan, note, and recommendation you create.
• Backing up Content that is critical to your practice. We perform routine backups but cannot guarantee against all data-loss scenarios.

6. Acceptable use

You agree not to use the Service to:

• Provide medical advice you are not qualified to give.
• Upload or transmit unlawful, abusive, defamatory, or harmful content.
• Impersonate any person or misrepresent your credentials.
• Send spam, unsolicited bulk messages, or harass End Clients or other users.
• Reverse-engineer, decompile, scrape, or attempt to extract source code from the Service.
• Probe, scan, or test the vulnerability of any system or network related to the Service without our written permission.
• Use the Service to violate any applicable Indian or international law, including data-protection, consumer-protection, or healthcare regulations.

We reserve the right to suspend or terminate accounts that violate these rules. In serious cases (illegal content, security threats, fraud), suspension may be immediate and without prior notice.

7. Payment processing

Dietzeo provides payment-link generation (via Razorpay) so Nutritionists can collect fees from their End Clients. When you generate a payment link:

• The transaction is between you and your End Client. We are not a party to it.
• Funds are settled to your own bank account by Razorpay according to their settlement schedule.
• Razorpay's own terms and conditions also apply to those transactions.
• You are responsible for issuing receipts, refunds, and any tax invoices to your End Clients.

Dietzeo does not hold or process End Client payments on its own balance sheet. Refund disputes between you and an End Client must be resolved between you and that End Client (or via Razorpay's dispute process), not with Dietzeo.

8. Intellectual property

Dietzeo, including its software, logos, design, documentation, and the platform brand name, is owned by Uma Mahesh (Sole Proprietor) and protected by Indian and international copyright, trademark, and other laws. These Terms do not grant you any ownership of the Service - only a limited right to use it during your subscription.

Default templates, default food databases, and similar content provided inside the Service are licensed for your use within the Service. You may use them with your End Clients but may not redistribute them as standalone products.

9. Termination

You may cancel your account at any time from the in-app Settings page. Cancellation takes effect at the end of your current billing period (no refund - see our Refund Policy).

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or use the Service in ways that put us, other users, or End Clients at risk.

After termination, you may export your Content for up to 30 days. After that period, we will delete your active data, retaining only what is required by law (e.g., audit logs for 12 months for security and legal compliance).

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, and uninterrupted availability.

We do not warrant that the Service will meet your specific requirements, that diet plans created on the platform will produce any particular health outcome, or that the Service will be error-free or free from security vulnerabilities at all times.

11. Limitation of liability

To the maximum extent permitted by law:

• Dietzeo's total liability to you under these Terms, for any cause whatsoever, will not exceed the amount you have paid us in subscription fees during the 12 months preceding the event giving rise to the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages - including lost profits, lost revenue, lost data, or business interruption - even if we have been advised of the possibility.
• We are not liable for any health, medical, or nutritional outcome experienced by an End Client. As stated above, all such advice is provided independently by the Nutritionist.

12. Indemnity

You agree to indemnify and hold harmless Uma Mahesh and Dietzeo against any third-party claim, demand, loss, or expense (including reasonable legal fees) arising out of:

• Your violation of these Terms.
• Your violation of any applicable law, including healthcare or data-protection law.
• Any diet plan, recommendation, or advice you provide through the Service.
• Any claim brought by an End Client related to your services.

13. Changes to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify active subscribers by email or in-app notice. Your continued use of the Service after a revision means you accept the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts in Vijayawada, Andhra Pradesh.
